These Terms of Use ("Terms") are a binding agreement between you and Honey Badger IT, Bangladesh ("we", "us", the operator of Vidaa AI Video Generator - Vid, "the App") governing your use of the App and related services. By downloading or using the App you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App.

1. The service

The App creates short videos from photos you upload and/or text prompts you write, using third-party artificial-intelligence models (e.g. via fal.ai). Generated videos are delivered to your device and stored in the App's local History.

2. Eligibility

You must be at least 13 years old (or the minimum digital-consent age in your country) to use the App. If you are under 18, you confirm a parent or guardian has reviewed and agreed to these Terms on your behalf.

3. Credits, purchases & subscriptions

• Credits are the App's virtual currency. Each generation costs a stated number of credits, which varies by model, template, and video length. Credit prices are shown before you generate.
• Credit packs are one-time consumable purchases. Pack credits do not expire.
• Subscriptions (e.g. Weekly, Yearly) auto-renew until canceled and grant a credit allowance each period. Unused subscription credits do not roll over to the next period. Manage or cancel anytime in your Google Play subscription settings; cancellation takes effect at the end of the current billing period.
• All payments are processed by Google Play. Prices may change; changes apply from the next billing period.
• Credits are deducted only when a generation succeeds. If a generation fails, the credits for it are not charged (or are returned).
• Credits have no monetary value, are non-transferable, and — except where required by law or Google Play policy — purchases and spent credits are non-refundable.

4. Your content and responsibilities

You keep ownership of the photos and prompts you submit. You grant us a limited license to process them (including through our AI providers) solely to provide the service. You represent and warrant that:

• You own or have all necessary rights to any photo you upload;
• You have the consent of every identifiable person in an uploaded photo to use their likeness in an AI-generated video;
• Your content and your use of generated videos comply with applicable law and these Terms.

5. Prohibited use

You must not use the App to create, upload, or share content that:

• Depicts or sexualizes minors in any way — zero tolerance;
• Is pornographic, or sexual content involving real persons without consent;
• Impersonates a real person or creates misleading "deepfake" media intended to deceive, defame, harass, or defraud;
• Infringes copyright, trademark, publicity, or privacy rights;
• Is unlawful, hateful, violent, or promotes self-harm or illegal acts;
• Attempts to probe, overload, reverse-engineer, or abuse the service, its APIs, or its credit system.

We may block prompts/images, remove capabilities, refuse service, and suspend access for violations. Content moderation may be applied by us and by our AI providers; sensitive inputs may be rejected without charge.

6. AI-generated content

• Outputs are produced by machine-learning models and may be inaccurate, unexpected, or resemble other content. Same inputs may produce different outputs.
• Subject to these Terms and the policies of the underlying model providers, we do not claim ownership of your generated videos; you are responsible for how you use and share them.
• You are responsible for labeling AI-generated media where the law or a platform requires it.

7. Intellectual property

The App, its design, branding, templates, and software are our property or licensed to us and are protected by law. We grant you a personal, non-exclusive, non-transferable, revocable license to use the App for its intended purpose. Except for your content and outputs, no rights are transferred to you.

8. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL MEET YOUR EXPECTATIONS. GENERATION AVAILABILITY DEPENDS ON THIRD-PARTY MODEL PROVIDERS AND MAY CHANGE OR BE WITHDRAWN.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow these limitations, so they may not fully apply to you.

10. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your content, your use of generated videos, or your breach of these Terms.

11. Termination

You may stop using the App at any time. We may suspend or terminate access (including unused credits) if you materially breach these Terms, misuse the service, or where required by law. Sections that by their nature should survive (4–10, 12–13) survive termination.

12. Changes

We may modify the App, pricing, and these Terms. Material changes will be posted here or in the App with an updated date; continued use after changes constitutes acceptance.

13. Governing law & contact

These Terms are governed by the laws of the People's Republic of Bangladesh, without regard to conflict-of-law rules, and disputes shall be brought in the competent courts of Bangladesh, unless mandatory consumer law in your country of residence provides otherwise.
